These Seller Terms apply when you sell goods or services on the Rille platform operated by Rille Digital Ltd (“Rille”). They add to our Terms and Conditions, Buyer Protection and Returns Policy, and Prohibited Items Policy, which also apply to you. Words defined in the Terms have the same meaning here.
1.About These TermsLink to this section
You accept these Seller Terms when you tick the box agreeing to them while setting up a shop, or when you first list or sell anything, whichever is first. We record the version you accepted. You accept them for yourself and for every business you operate on Rille, and you confirm you are authorised to bind each of those businesses. If a business is a company, it is the seller, and you are responsible for making sure it complies.
2.Becoming a Seller and VerificationLink to this section
To sell, you must complete our verification, which may include identity checks on you and on the people who own or control the business, business registration details, a business address, and a bank account in the name of the business or its owner. Everything you give us must be true and kept up to date, and you must tell us promptly about any change in ownership, control, bank details, or business type. We may approve, reject, or ask for more information on an application, and may review a shop again at any time.
3.ListingsLink to this section
- Describe every item or service accurately and completely, including condition (new, used, or refurbished), material defects, size, options, and what is included.
- Use photos and videos you own or have permission to use, that show the actual item, or clearly say when an image is illustrative.
- Show the full price in Naira, including any compulsory charges other than delivery, and keep stock levels and options accurate.
- Only list what you are allowed to sell and have, or can supply within the time you state. Never list anything in our Prohibited Items Policy, or counterfeit goods.
- Follow labelling, safety, and licensing rules that apply to your products, including NAFDAC registration and food-safety rules for food, drink, cosmetics, and drugs where they apply.
We may edit how a listing is categorised or displayed, and may hide or remove any listing that we reasonably believe breaks these Seller Terms or the law.
4.Orders and FulfilmentLink to this section
A Buyer’s paid order is a binding commitment for you to supply at the listed price. You must accept or decline new orders promptly, ship or make them ready within the time you state, and update the order status honestly. Pack items safely. Use the delivery options on the Platform or offer pickup where you have turned it on. For local deliveries, the rider must collect the Buyer’s handover code at the door, and for pickup orders you collect the pickup code from the Buyer when they collect. For interstate deliveries, you must upload the waybill. Never ask a Buyer for a code before they have the item, and never mark an order delivered or collected when it was not.
If you cannot fulfil an order, cancel it as soon as possible so the Buyer is refunded. Repeated cancellations affect your shop’s standing.
5.Payments, Escrow, and PayoutsLink to this section
You appoint Rille as your limited agent to accept payments from Buyers for you through our licensed partner. A Buyer’s payment to Rille for a Marketplace Order counts as payment to you, and you must not ask the Buyer to pay again.
Payment for a Marketplace Order is held in escrow until the order completes under the Buyer Protection and Returns Policy. Your proceeds, after commission and other Fees, are then credited to your business wallet and paid out to your verified bank account (or, where you have chosen and we support it, in another settlement currency) on the schedule shown in the app. Payout timing depends on our partners and on verification and risk checks, and we do not guarantee a particular arrival time. You must not provide a bank account that is not yours or your business’s.
6.Fees and CommissionLink to this section
You agree to pay the commission and Fees shown in the app or on our website for your category and plan, which we deduct from your proceeds. The commission rate that applies to an order is the one in force when the order was placed. Rille Pro, a paid subscription, gives a lower commission rate (shown in the app as “2% less commission”) and other benefits, and renews automatically until you cancel, as described in the Terms. We may change commission rates and Fees for future orders by giving you at least 14 days’ notice through the Platform.
7.Refunds, Disputes, and ChargebacksLink to this section
You agree to follow the Buyer Protection and Returns Policy, including replying to a reported problem within 48 hours, the rules on returns and who pays for return delivery, and Rille’s decision where you and the Buyer cannot agree. Rille’s decision is final for the money held in escrow or due from you under that policy.
Refunds after payout. If a refund is due on an order after you have been paid, Rille may refund the Buyer straight away, and you authorise us to recover the amount, with any return delivery you are responsible for, from your business wallet. If your business wallet does not cover it, the shortfall is a debt you owe Rille, and we may deduct it from your future earnings until it is repaid and recover it from you by other lawful means.
You are responsible for chargebacks and reversals on your orders, and for any related scheme or partner fees, unless the chargeback was caused by our error.
8.Holds, Reserves, and Set-OffLink to this section
We may delay or hold payouts, keep a reasonable reserve from your earnings, or set off amounts you owe against amounts due to you, where we reasonably believe it is needed to cover refunds, disputes, chargebacks, Fees, or losses, for example because of a high rate of disputes or cancellations, a change in your business, suspected fraud or a breach of these Seller Terms, or a request from a partner, court, or regulator. We will tell you why where we can lawfully do so, and release held funds once the risk has passed, normally within 180 days of your last relevant order unless the law requires longer.
9.Store LinksLink to this section
Payments on your storefront link (store.rille.ng) go directly to you and are not held in escrow. You are solely responsible for delivering those orders and for any refunds, returns, and complaints about them, in line with the law and any policy you publish. Our Prohibited Items Policy and these Seller Terms still apply to everything sold through your storefront.
10.Sales, Promotions, and Discount CodesLink to this section
You must honour the sale prices, promotions, and discount codes you create for the period you set. Discount codes do not apply to items already on sale. Any promotion you run must be truthful, and a “was” price must be a price you genuinely charged.
11.Buyer DataLink to this section
You receive Buyers’ names, phone numbers, and delivery addresses only to complete their orders and handle related questions, returns, and legal obligations. You must keep that information secure, must not use it to market to a Buyer without their consent, must not share or sell it, and must delete it when you no longer need it. You are responsible for your own compliance with the Nigeria Data Protection Act 2023 for the data you receive.
12.Your Shop ContentLink to this section
You grant Rille the licence in the Terms over your shop name, logo, listings, photos, and videos, and you also allow us to use them to feature your shop, in search, on the feed, in our marketing and advertising (including on social media and with search engines), and in storefronts and product feeds that point Buyers to your shop. You confirm that you have the rights needed to give us this licence.
13.Performance and EnforcementLink to this section
We measure things such as cancellations, late shipping, reported problems, response times, and reviews. Where a shop falls short, breaks these Seller Terms, or puts Buyers at risk, we may warn you, lower your shop’s visibility, limit new orders, hold payouts as described above, remove listings, or suspend or close the shop. We will tell you the reason where we can lawfully do so, and you can ask us to review our decision at hello@rille.ng.
14.Taxes and Legal ComplianceLink to this section
You are responsible for all taxes on your sales and income, including value-added tax where it applies to you, and for registering for, charging, and paying them. Where the law requires us to deduct or report tax on your payouts, we will. You must hold any licence, permit, or registration your business or products need, and comply with all laws that apply to you as a seller, including consumer protection, product safety, and advertising laws.
15.Responsibility for Your ProductsLink to this section
You are the seller of everything you list, and you are responsible for it, including its quality, safety, legality, and description, and any warranty or guarantee you give. You agree to indemnify Rille against claims, losses, fines, and costs (including reasonable legal fees) arising from your products or services, your listings and content, your handling of Buyer data, your taxes, or your breach of these Seller Terms or the law, except to the extent caused by Rille’s own breach, negligence, or misconduct.
16.Stopping SellingLink to this section
You may stop selling at any time by closing your shop in the app. Before it closes you must fulfil or cancel open orders, and resolve open disputes. Your payouts are made once open orders, disputes, and holds are settled. These Seller Terms continue to apply to orders placed before your shop closed, and the sections on refunds, chargebacks, holds and set-off, buyer data, taxes, and responsibility for your products survive.
